This month’s Enforcement Roundup features three enforcement activities from the BC Securities Commission (BCSC) and the Canadian Investment Regulatory Organization (CIRO). There are 18 additions to the Investment Caution List.

NetCents Technology Inc.
A Vancouver payment processing company was ordered to pay more than $3.3 million after making misrepresentations, illegally distributing securities and operating an unauthorized exchanged – related to a crypto asset it created and sold.
NetCents failed to file a prospectus after it created a crypto-asset called NetCents Coin, which gained proceeds of $3.3 million. Without a prospectus – a formal document providing details of an investment – NetCents illegally distributed securities. The funds collected from the settlement will be made available to investors who lost money as a result of the company’s misconduct.

CIRO Sanctions
Michael Rowland Tomkins
Tomkins was employed as a Registered Representative with Assante Capital Management at a branch in Nanaimo, BC. From 2007 to July 2023, Tomkins misappropriated about $1.6 million from five of his clients by deceiving them and his employer through fabricated information. These funds were used for his own personal benefit.

Sukhjinder Minhas
A CIRO hearing panel found that Minhas failed to identify, report, and address material conflicts of interest that arose when he borrowed $400,000 total from clients. He then used these loans to pay personal expenses and repay money owed to other clients. In addition, he also failed to cooperate with CIRO on an investigation into his conduct.
The hearing panel has imposed the following sanctions:
- Permanent prohibition from conducting securities related business
- A fine of $425,000
- Payment of costs in the amount of $10,000
