The January 2025 Enforcement Roundup highlights four enforcement actions taken by the BC Securities Commission (BCSC) and the Canadian Investment Regulatory Organization (CIRO). It also includes 16 new additions to the Investment Caution List.
BCSC Enforcement
BCSC Settlement Agreements
Jeremy Alexei Benne
From 2020 – 2023, Benne raised about $255,000 from 23 investors through agreements to trade derivatives and securities on their behalf. He promised that he would provide 100% return on their investments in 1-3 years. Instead, he used $75,000 of the investors’ funds for personal purposes and lost most of the rest.
He has paid $55,000 to the BCSC – which represents the funds obtained from his misconduct and can be distributed to his victims.

BCSC Notice on the Availability of Funds
GSB Gold Standard Bank Ltd (aka GS Partners), GSB Gold Standard Corporation AG, Swiss Valorem Bank Ltd., Haidy Nitsa Nakos, Tanya Sue Cloete, and James Bruce Gardine
The BCSC has reached an agreement with GS Partners and its affiliates that will enable British Columbians to make a claim for a refund of investments made with them.
In November 2023, the BCSC issued a temporary order against GS Partners, certain affiliates and three BC promoters, as part of a coordinated enforcement effort with US state securities regulators. Eligible investors can submit a claim with AlixPartners LP February 21, 2025 until May 22, 2025. Instructions on how to file a claim are available here: https://gsbsettlement.com/

BCSC Findings
Baynsworth and Lloyd Holdings Inc. (Baynsworth) and James Michael Burnett
A BCSC panel cited a company’s claim of “high-return, no risk, 100% money-back guaranteed investments” in justifying an extension of a temporary order against Baynsworth and Burnett.
A panel found that there is enough evidence to conclude that Baynsworth engaged in illegal distribution of a security, conducted trading of securities without being registered, and made false representations in the course of promotional activities.

CIRO Findings
Randy Bryan Hildebrant
A CIRO panel finds Hildebrandt liable for failing to adequately performing his role as a gatekeeper to capital markets for failing to make sufficient and diligent inquiries in relation to client trading activities. Violations occurred while Hildebrandt was a registered representative at PI Financial Corp (now Ventum Financial Corp.).
