The September 2025 edition of the monthly Enforcement Roundups contains details about two enforcement actions taken by the BC Securities Commission (BCSC). There are also nine new additions to the Investment Caution List.

Arthur Griffiths and Hani El Rayess
Two former officials of a Vancouver-based cannabis company, RoccaVerde Wellness Corporation, have each paid $30,000 for illegally distributing securities.
Between February to October 2019, RoccaVerde distributed its securities to investors for proceeds of $192,600 without filing a prospectus or qualifying for an exemption. As a director and CEO of RoccaVerde, Griffiths authorized illegal distributions. He cooperated with BCSC staff and expressed remorse in his misconduct.
Rayess was a RoccaVerde director when the company distributed its securities to investors for proceeds of $133,500 without filing a prospectus or qualifying for an exemption. El Rayess instructed finders to solicit investors to purchase shares in the company. Many of the investors were not accredited, failing to comply with the Securities Act. All investors lost their money as a result.

Our Investment Caution List notifies British Columbians about unqualified investments and unregistered activity originating outside the province but accepts BC residents as clients.
